Terms of Service
The short version. This summary is for convenience; the numbered sections below are the agreement.
- Who sells it: an Israeli business owned by Shaked Asher, trading as Trader Machine. Whop processes the payment; we are the seller (§1).
- What you get: one annual plan with everything included — real-time charts, scanners, the earnings calendar, the Strategy Builder and backtests, AI QUANT (an AI), the University (lessons and a weekly live session), support chat, and optional automation to your own SignalStack account (§3).
- NOT INVESTMENT ADVICE. We are not a broker or an investment adviser. We never hold your money and never place your orders (§4).
- Price: $2,250 per year at launch, charged up front, plus any tax shown at checkout. No free trial. It renews automatically every year at $2,250 for as long as your subscription continues without a gap. The price for new subscribers later rises to $4,750 (§7).
- No refunds, except billing errors and the few cases in §8.
- Cancel any time, in one click, in Settings or on your Whop Orders page. No phone call. You keep access to the end of the year you paid for. We email you 40 days and 14 days before every renewal, each time with a one-click cancel link (§9).
- Automation is optional. An exit alert closes your WHOLE position in that symbol — including shares you bought yourself (§13).
- Backtests are hypothetical. AI output can be wrong (§11, §12).
- Direct Access is a separate program: $5,250 per quarter, by application, for US residents only, no refunds (§15).
- Disputes: if you live in the US, disputes go to individual arbitration, not a class action, unless you opt out within 30 days. Consumers in Canada keep their own courts (§25).
1. Who we are and this agreement
1.1 Who we are. The Service is sold and provided by [OWNER DECISION: legal name, registration number and postal address of the business. Recommended default: the name exactly as registered with the Israel Tax Authority, its registration number, and a business mailing address in Israel (a mailbox service is fine if you do not want to publish a home address).], a business established in Israel and owned by Shaked Asher, trading as Trader Machine (“we”, “us”, “our”). We are the seller. Your contract for the Service is with us. “You” means the individual who creates the account and pays. “Service” means our web application, websites, software, data displays, AI features, content, live sessions, lessons, Direct Access, emails and support for the US & Canada edition.
1.2 Payments through Whop. Checkout, payment processing, tax calculation and subscription billing are handled by Whop (whop.com). Whop acts as merchant of record only for card-network rules and payment settlement. For every other purpose — including the Service itself, consumer law, tax and refunds — we are the seller, and your checkout page and receipt name us. When you pay, you also accept Whop's own terms, which govern your relationship with Whop and the payment itself. These Terms govern the Service. If Whop's terms and these Terms differ about the Service — what you get, renewal, cancellation or refunds — these Terms apply between you and us. Whop is not responsible for the Service, and we are not responsible for Whop's systems.
1.3 How you accept. You accept these Terms only by an affirmative click: the agreement box when you create an account, and the separate, unticked boxes at checkout when you subscribe. We record each acceptance (§7.9). If you do not agree, do not create an account or subscribe.
1.4 The documents that make up this agreement. These Terms include, by reference, our Privacy Policy, Risk Disclosure and Refund & Cancellation Policy. If you join our affiliate program, the Affiliate Terms also apply. Consent screens inside the application (for example, the box you tick before turning on automation) add to these Terms. If any of these documents conflicts with these Terms, these Terms win — except that the Privacy Policy governs how we handle personal information.
2. Who may use the Service
2.1 Age. You must be at least 18 and old enough to make a binding contract where you live.
2.2 Where you live. This edition is sold only to residents of the United States and of Canada outside the Province of Québec. It is not offered to residents of Québec, and at checkout you confirm that you do not live in Québec, in a separate box that is not ticked in advance: “I do not live in the Province of Quebec. Trader Machine is not offered to residents of Quebec.” [OWNER DECISION: Québec. Recommended default: not sold there — the checkout blocks Québec billing addresses, no ads target Québec, and these English-only documents stay as written. Selling there would need French versions of every document and the checkout, and a different renewal and refund model.] If a resident of Québec subscribes, we cancel the subscription and refund it in full (§8.3).
2.3 Direct Access is offered to residents of the United States only (§15).
2.4 Sanctions. You may not use the Service if you are located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions — currently including Cuba, Iran, North Korea, and the Crimea, so-called Donetsk People's Republic and so-called Luhansk People's Republic regions of Ukraine — or if you appear on a U.S. government restricted-party list, or act for someone who does. Using a VPN or false information to get around this, or around §2.2, is a breach of these Terms.
2.5 One person, one account. An account belongs to one individual. It may not be shared, resold, or used by a team or a business on behalf of others.
2.6 Desktop only. The application is built for desktop and laptop browsers. It is not available on phones. Our legal and help pages work on any device. If the desktop-only design is a barrier for you because of a disability, see our Accessibility Statement.
2.7 Sales we may refuse. We may refuse or cancel a sale that breaks this section. If we cancel one, we refund it — unless it was made with false information, in which case no refund is due.
3. What the plan includes
A subscription gives you, for the paid year and at no extra charge:
- real-time and historical charts of US-listed stocks (§10);
- scanners and watchlists;
- the earnings calendar and earnings data;
- the Strategy Builder and its backtests (§11);
- AI QUANT — an AI that proposes strategy rules from your written request and runs a backtest of each one on past data (§12);
- the University — recorded lessons and a weekly live session in English (§14);
- support chat in the application, answered by an AI agent first and then by a person (§12.6); and
- optional automation that sends your own strategy's alerts to your own SignalStack account (§13).
Not part of the plan: SignalStack's fees and your broker's commissions, which they charge you directly (§13); and Direct Access, a separate program with its own price (§15).
Some features reach accounts in stages. A feature labelled “rolling out”, “beta” or “preview” is part of the plan but may arrive later, be limited or change (§20.3). The Service is a set of research tools: what you build with it, and every decision to trade, is yours.
4. Not investment advice
Not investment advice. We publish general research software and education. We are not a broker-dealer, investment adviser, commodity trading advisor, portfolio manager or financial planner, and we are not registered as any of these with the SEC, FINRA, the CFTC, any U.S. state or any Canadian securities regulator. Nothing in the Service is a recommendation to buy, sell or hold any security.
No chart, scan, earnings figure, strategy template, backtest, AI output, alert, live session, lesson, Direct Access call, email, social post or support reply is investment advice, or an opinion that any strategy or security suits you.
4.1 Impersonal, general and regularly published. The Service is the same for every subscriber. It is published on a regular basis — the software continuously, live sessions weekly, lessons as they are added — and not in response to your trades or timed to specific market moves. It is not prepared with your finances, goals, experience or risk tolerance in mind. Where a tool asks for your preferences (for example, how often you want to trade, in AI QUANT), it uses them only to shape research about strategy rules on past data — never to assess your situation, your account, or what you should do with your money.
4.2 No custody, no orders. We do not hold your money or securities. We have no access to your brokerage account. We never place, change or cancel an order in it, and we never copy anyone's trades into it.
4.3 No advisory relationship. What our founder, staff, AI agent or affiliates say or write — in a live session, a lesson, a Direct Access call, a support chat, an email or a social post — is general education and opinion. It does not create an advisory or fiduciary relationship and does not change these Terms (§28.1).
4.4 Our own positions and how we earn. Our founder and staff may hold or trade securities that appear in the Service, in live sessions or in lessons, including in the opposite direction to views expressed. When our founder discusses by name a security he holds, in a live session or a lesson, he says so at the time. We do not announce our trades. Our income comes from subscriptions (and from SignalStack referral commissions, §13.12) — not from your trading results and not from any broker.
4.5 Your responsibility. You decide whether, what, when and how much to trade. Consider speaking to a licensed financial professional who knows your circumstances before you act. Read the Risk Disclosure; it is part of these Terms.
5. What you confirm
When you create an account and when you subscribe — and again each time your subscription renews — you confirm that:
- you are at least 18 and live in the United States or in Canada outside Québec, and the information you give us is true;
- you understand how stocks, orders and brokerage accounts work, and have enough experience to use research software of this kind;
- you make your own investment decisions and do your own research before every trade, using sources beyond the Service;
- you are not relying on us, our founder, our staff, our AI agent or our affiliates to tell you what to trade;
- you use the Service and its market data for yourself, as a non-professional: for your own personal research, not for a business, not to advise, manage money for or trade for anyone else, and not as a person registered or qualified as a securities or commodities professional (§10.7);
- you will follow the securities laws, tax laws and broker rules that apply to you; and
- you are not on a U.S. restricted-party list and are not acting for someone who is.
If any of this stops being true, tell us. If you become a professional user, §10.7 applies.
6. Your account
- Give us accurate information and keep your email address current. Renewal reminders and notices go there (§27).
- Keep your password and your SignalStack webhook address secret. You are responsible for activity in your account until you tell us it has been compromised.
- If you suspect someone else is using your account, tell us at once at support@tradermachine.com.
7. Price, billing and automatic renewal
7.1 One plan, one price. The US & Canada edition has one plan: an annual subscription, charged in full, in U.S. dollars, when you subscribe. There is no free trial and no monthly option.
- Launch price: $2,250 per year.
- Later: from [OWNER DECISION: the date the price for new subscribers rises to $4,750. Recommended default: a firm date no more than 60 days after the first ad that names the launch price; then charge every new subscriber $4,750 for at least 14 days, and longer in practice. Until a date is chosen, no page or ad shows $4,750.], the price for new subscribers rises to $4,750 per year. The launch price cannot be combined with any other offer.
7.2 Automatic renewal. Your subscription renews automatically for another year on each anniversary of your first payment (your “renewal date”, shown in Settings → Account & plan and in every reminder). The renewal is charged through Whop on that date — never earlier — to the payment method on file, until you cancel. By subscribing you authorise those charges. You can cancel at any time (§9).
7.3 Your renewal price. If you subscribed at the launch price, every renewal is charged at $2,250 for as long as your subscription continues without a gap — the same promise the checkout makes (“Renews automatically every year at $2,250 until you cancel”). If your subscription ends — because you cancelled, or because a renewal payment failed (§7.6) — and you subscribe again later, you pay the price for new subscribers at that time.
7.4 Reminders and receipts. We email you 40 days and 14 days before each renewal with the renewal date, the amount, how to cancel and a one-click Cancel automatic renewal link that works without signing in (it opens a page with a single button). These are service emails: you receive them even if you have unsubscribed from marketing. After every charge you receive a receipt that says how to cancel.
7.5 Other price changes. Apart from the promise in §7.3, we may change the renewal price.
- We will tell you by email at least 30 days before the renewal it applies to.
- A change never applies to a year you have already paid for.
- If you do not accept it, cancel before your renewal date and nothing more is charged.
- If you live in New York, or anywhere else whose law requires your consent to a price increase, we will ask for that consent. If a higher price is charged without it, you may cancel within 14 days after that charge and we refund the unused part of the year.
7.6 Failed renewal payments. If a renewal payment fails, Whop marks your subscription past due, emails you a link to update your payment method, and retries the charge automatically for up to five days. You keep access while it retries. If the payment has still not gone through after five days, the subscription is cancelled automatically, your access ends and automation pauses (§13.9). We never charge late fees or interest. You may subscribe again at any time, at the price for new subscribers then in effect.
7.7 Payment processing, taxes and your statement.
- Payments are processed by Whop (§1.2).
- Prices do not include taxes. Any sales tax, GST/HST or similar tax is calculated and shown at checkout before you pay, and is added to the price.
- If your card is not in U.S. dollars, your card issuer may charge a currency-conversion or foreign-transaction fee. That fee is your issuer's, and we cannot refund it.
- Your card statement shows Whop as the payment processor. Your receipt names us as the seller.
7.8 Your confirmation. Right after you pay, we email you a confirmation with the plan, the amount, your renewal date and renewal price, how to cancel, and links to these documents and the versions you accepted. Please keep it.
7.9 Record of your consent. When you create an account and when you check out, we record the time, your IP address and browser, the exact wording of each box you ticked, the version of each document you accepted, and Whop's membership and payment references. We keep this record for at least three years, or one year after your subscription ends, whichever is later.
8. No refunds
8.1 All payments are final and non-refundable — the first payment and every renewal, in full or in part, including the unused part of a year after you cancel. Before you buy, please watch the product demonstration and read these Terms. If you cancel, you keep access to the end of the year you paid for, and you are not charged again.
8.2 These never qualify for a refund: changing your mind; not using the Service; trading losses or disappointing results; not opening a SignalStack or brokerage account; a broker rejecting orders; data delays; disagreeing with AI output; missing a live session or a call; and a renewal you did not cancel in time after our 40-day and 14-day reminders.
8.3 The only exceptions. We refund, or correct, in these cases:
- Billing errors — a duplicate charge, a wrong amount, a renewal charged after you had cancelled, or a renewal charged after you tried to cancel through a route in §9.1 that did not work. Tell us within 60 days of the charge, or later where the law gives you longer.
- We stop providing the Service — if we discontinue the Service, end your subscription for a reason other than your breach, or permanently remove a core part of it (charts, scanners, or the Strategy Builder and backtests) during your paid year, we refund the unused part of that year, calculated by days.
- You were never eligible — if you live in Québec, or we cancel a sale under §2.7 that was made in good faith, we refund it in full.
- The law requires it — nothing in these Terms takes away a refund or cancellation right that the consumer law of your state or province gives you and does not allow a contract to remove; for example, the New York right in §7.5, or a right to cancel an internet agreement under Ontario's Consumer Protection Act if required information was not given to you.
8.4 Refund requests through Whop. Whop's Resolution Center lets buyers ask for a refund. We decide a request made there under this section, exactly as if you had emailed us. Using it does not change these rules.
8.5 Refunds Whop makes. Under its own rules Whop can refund or reverse a payment itself — for example after a processing error, for suspected fraud, because the law or a card network requires it, or to head off a card dispute.
- If a payment for your subscription is refunded or reversed for any reason, the period it paid for ends and your access ends with it — unless the refund corrected a duplicate or wrong charge.
- A refund made by Whop is not a change to this policy and does not entitle anyone else to one.
8.6 Card disputes. Please ask us first (§29) — billing errors are corrected faster than a bank dispute. You keep every right your card issuer gives you. If you dispute a valid charge, we give the issuer the record of your purchase and consent (§7.9), a record of your use of the Service, and these Terms. We may suspend access while the dispute is open. If a valid charge is reversed, the subscription ends.
8.7 How refunds are paid. Through Whop, to the original payment method — usually within 3–5 business days on Whop's side. Your bank decides when the refund appears and whether it reverses any fee it charged. Direct Access payments follow this section too (§15.4). The step-by-step procedure is in the Refund & Cancellation Policy.
9. Cancelling, suspension and termination
9.1 Cancel any time, in one click. Use any of these; they all work the same way.
- (a) In the Service: Settings → Account & plan → Cancel my subscription → Cancel automatic renewal.
- (b) In your Whop account: whop.com → Profile → Orders → select the subscription → Cancel membership.
- (c) From our emails: the Cancel automatic renewal link in your purchase confirmation and in each renewal reminder opens a page with one button. No sign-in is needed.
Each takes one confirmation and needs no reason, no phone call and no chat. You receive a confirmation email. If we ever show you an offer while you cancel, the cancel button stays on the same screen. If you cannot sign in to either, email support@tradermachine.com from the address on your account with “Cancel my renewal”. We treat the cancellation as made when the email arrives, and confirm it by reply within one business day.
9.2 Timing. A cancellation made at any time before the renewal is charged on your renewal date stops that renewal. To be safe, cancel at least one day early. A cancellation made after a renewal has been charged applies to the next renewal; the charge already made is not refunded (§8), unless it is a billing error under §8.3(1).
9.3 What cancelling does. It stops the next renewal. Everything keeps working to the end of the year you paid for; then access ends. It does not refund the current year. If you change your mind before the year ends, tell us and we will turn renewal back on.
9.4 Suspension for misuse. We may suspend some or all of your access at once — without notice where that is needed to stop harm — if we reasonably believe your account is being shared, scraped or attacked, is being used to break the law or §16, is misusing automation or AI features, or if a payment is disputed or reversed. We tell you why, unless the law or security prevents it, and we lift the suspension once the problem is fixed or if we were wrong.
9.5 Termination by us. We may end your subscription if you materially breach these Terms — with notice, and a chance to fix the breach where that is practical. If we end it for your breach, no refund is due. If we end it for any other reason, §8.3(2) applies.
9.6 After the end. Your licence ends and automation stops. Open positions at your broker are not closed (§13.8). We keep or delete your data as the Privacy Policy describes.
9.7 What survives. Sections 4, 5, 8, 9.6, 10.6–10.8, 11, 12.2, 13, 15.6, 15.8, 16, 17 and 21–28 survive the end of your subscription, together with any payment already due.
10. Market data and data providers
10.1 Where prices come from. Stock prices and volume come mainly from Alpaca's market-data service (alpaca.markets), using the consolidated U.S. feed. If that feed is unavailable, some screens fall back to a single-exchange feed (IEX), which shows only that exchange's trades and can differ from the consolidated price. Extended-hours and overnight prices, earnings dates and estimates and other data come from other providers and public sources, and company filings come from the SEC's EDGAR system.
10.2 “Real-time” means as fast as our provider delivers. Delays of seconds or more happen, especially at the open and on busy days, and some screens refresh less often than others.
10.3 Different screens, different feeds. Scanners, charts, backtests, alerts and AI QUANT do not always use the same source or the same update timing, so their numbers can differ. Confirm a result on the chart, and with your broker, before you act on it.
10.4 Earnings data changes. Companies move report dates and analysts revise estimates. Confirm any earnings date or figure in the company's own announcement before acting on it.
10.5 Not every source reaches every feature. Some licensed data cannot be passed to AI features, so AI QUANT may not know something a chart shows.
10.6 For your own use, on screen. Data is licensed to you for personal, non-commercial viewing inside the Service. You may not copy, export in bulk, redistribute, resell or publish it, or use it to build a database, index, signal feed or other product. You may not scrape it or feed it to another program, except through automation features we provide.
10.7 Professional users and provider terms. If you are, or become, a professional user (§5(e)), tell us before you use the data. An exchange or data provider may require us to pass its terms on to you, to collect a declaration of your status, to report or limit your use, or to charge a professional fee. If so, you agree to cooperate. We will show you those terms, and any extra cost, before they apply, and you may decline; if we can then no longer provide the data to you, §8.3(2) applies. Data providers and exchanges may audit, limit or cut off data, and may enforce this section directly.
10.8 Market data is provided “as is”. Neither we nor our data providers promise that it is accurate, complete, timely or in sequence, and neither we nor they are liable for any trading decision or loss based on it.
11. Backtests and hypothetical performance
Every backtest, equity curve, return figure, win rate, drawdown and other statistic the Service shows — including those produced by AI QUANT — is hypothetical. It shows how a set of rules would have behaved on past data. It is not a record of real trading and it is not a forecast.
Hypothetical or simulated performance results have inherent limitations. They do not represent actual trading: no order was placed and no money was at risk. Because the trades were never executed, the results may under- or over-state the effect of market factors such as lack of liquidity. Simulated strategies are designed and measured with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown. Past performance, actual or hypothetical, does not indicate future results.
11.1 What a backtest assumes. Our backtester assumes orders fill at modelled prices taken from the bars, as if the market were always liquid enough to fill them. It models commissions, spreads and slippage simply, or not at all; it cannot know the order of the high and the low inside a bar; and its history may leave out companies that were later delisted. Each of these makes a backtest look better than real trading.
11.2 Many tries inflate the best one. When many variants are tested — by you, or automatically by AI QUANT — the best-looking result is partly the luckiest one. Details are in the Risk Disclosure, §4.
11.3 The notice travels with the number. The application shows a hypothetical-results notice with every backtest. If you share a result from the Service, label it “hypothetical backtest” and keep that notice with it. Never present it as real trading (§16).
12. AI QUANT and the AI support agent
12.1 AI QUANT is an AI. AI QUANT is an artificial-intelligence system: a large language model provided by Anthropic, working inside our software. It is not a person, not a member of our staff and not a financial adviser. You write a request; the model proposes candidate strategy rules; the Service runs a backtest of each one on past data and shows the measured, hypothetical result beside it.
12.2 AI output can be wrong. A model can misread your request, state false things with confidence, propose rules that do not suit you, or give a different answer to the same question. The best of many proposals is partly luck (§11.2). AI output is not advice, not a recommendation and not a prediction; §4 and §11 apply to it in full. Never make a trading decision on an AI result alone.
12.3 What it does not know. AI QUANT does not search the internet. It works only from your request, your answers to its questions, statistics we compute from past prices, and summaries of your own earlier runs. It can lack information that matters — news, filings, or anything about you — and some licensed data is withheld from it (§10.5).
12.4 It does not give personal advice. Our AI features are instructed not to tell you whether to buy or sell a security, or what to do with your account. If an answer seems to do so, ignore it and tell us.
12.5 Limits. AI features have monthly usage limits, shown in the application, which we may change. We may limit, change or temporarily switch off an AI feature — for example, if our provider is unavailable. You may not use AI features to try to extract their instructions, get around their limits, or produce unlawful content.
12.6 The AI support agent. When you open support chat, an automated AI agent answers first, working from our help material and published policies, and it says so at the start of every conversation. It does not see your brokerage account. Ask for a person at any time and the conversation passes to our founder, who replies in the same window. The agent also passes the conversation to him when it cannot answer, and on any question about what to buy or sell or about a position, which it never answers. Questions about billing, cancellation and refunds always go to a person: the agent may first point you to the policy, and our founder then answers you himself. If the agent tells you something about price, billing, cancellation or refunds that differs from these Terms, these Terms apply, and we will confirm the correct answer in writing.
12.7 Your inputs. What you type into an AI feature is sent to Anthropic to produce a response. Do not enter passwords, card numbers, your SignalStack webhook address or other secrets. What is sent, and what is not, is set out in the Privacy Policy, §5.
13. Optional automation through SignalStack
13.1 How it works. If you choose, the Service sends the alerts of a strategy you set up to your own SignalStack account, using a webhook address you create there. SignalStack forwards them to your own broker, which places the order in your account. We never hold your money, never hold your brokerage login, never see your account, never place or route an order from an account of ours, and never copy anyone's trades — including our founder's — into your account.
Read this before you turn automation on.
- AN EXIT ALERT CLOSES YOUR WHOLE POSITION IN THAT SYMBOL — including shares you bought yourself, outside the strategy. The exit is sent as “close the position”, with no quantity, so your broker closes everything you hold in that symbol. Do not automate a symbol you also hold or trade by hand.
- The automation cannot see your account. It does not know your balance, your positions, your orders or your buying power, and it cannot check whether an order filled.
- SignalStack is a separate company with its own terms and fees, and it bills you directly. On 18 October 2026 its site listed 5 free signals a month, then monthly plans from $27 — see signalstack.com/pricing for current prices. It counts a signal when an order reaches your broker, even if the order does not fill.
- Your broker must accept orders from SignalStack. Confirm this with your broker.
13.2 You set everything. You choose the strategy, the symbol, the timeframe, the quantity and the webhook address. The quantity in an entry alert is sent exactly as you entered it. We do not size positions, check them against your account, or judge whether a strategy suits you.
13.3 One send, no retry. Each alert is sent once. If SignalStack does not answer, or answers in a way we cannot read, we do not send it again, because a second send could open or close a duplicate position. We tell you instead, and checking your account is your job.
13.4 Live alerts are not the backtest. Alerts are evaluated when our system checks your conditions, and real orders fill at the market after the alert arrives. We may refuse to connect a strategy where we detect a material gap between its backtest and how it would run live, and we tell you why. We do not promise to find every gap, and a strategy we accept is not endorsed.
13.5 Your webhook address is a key. Anyone who has it can send orders to your account through SignalStack. We store it encrypted. Do not share it; if you think it has leaked, replace it in SignalStack and in Settings at once.
13.6 We may pause or refuse automation — for your account or for everyone, without notice — if we suspect a malfunction, a data problem or misuse. We tell you when we do.
13.7 Your orders are yours. You remain responsible for every order placed in your account and for your broker's rules, including margin, short-selling and pattern-day-trader rules.
13.8 Stopping automation does not close positions. Pausing, stopping or deleting automation does not close any open position — whether you do it, we do it (§13.6), or a fault causes it. After that, no further exit, stop or target alert is sent for that position; you manage it at your broker.
13.9 When your subscription ends. If your subscription ends or a renewal payment fails, automation for your account pauses. Open positions are not closed.
13.10 The automation box. Before your first connection you tick a separate, unticked box confirming the points in this section. We record it, and it forms part of these Terms.
13.11 Alerts and automation are provided “as is”. An alert may be delayed, may not be sent, or may be sent at a time or price that differs from what a chart or backtest shows. Do not rely on alerts or automation as your only way to enter, exit or protect a position. To the fullest extent the law allows, we are not liable for any loss caused by an alert that was late, missing, duplicated or acted on, including through failures at SignalStack, your broker, your internet connection or email.
13.12 Our SignalStack referral link. The SignalStack sign-up link inside the application is our referral link: SignalStack may pay us a commission for accounts opened through it. You may open a SignalStack account directly instead; automation works the same either way.
14. Live sessions, lessons and the University
- Live sessions and lessons are general education about the software and a research method. Examples, symbols and trades discussed are illustrations, not recommendations (§4). We do not give trade alerts or “buy now” calls.
- We aim to hold one live session in English each week. The day, time and length may change, and a session may be cancelled. Missed sessions are not refunded, but they are normally recorded.
- Live sessions are recorded and added to the library. If you speak, appear on camera or write in the session chat, your name or handle and what you say may appear in the recording. You may stay off camera and use a handle.
- The library grows over time; we do not promise a set number of lessons. Captions are covered in the Accessibility Statement.
- Recordings and lessons are for your personal viewing. Do not download, record, share or republish them.
15. Direct Access
15.1 What it is. Direct Access is a separate, limited program. It gives you one one-to-one video call a month with our founder, Shaked Asher, about your research process: how you design, test and review strategies, how you set and follow your own risk rules, and how to use the Service. It also gives you priority support, and your feature requests are heard first (we do not promise to build them). While your membership is active it includes everything in the annual plan (§3). There are at most five members at a time.
15.2 Who can join. Direct Access is by application and is offered only to residents of the United States. It is not offered in Canada at this time. You apply, we hold a short introductory call, and we decide whether to offer you a place. We may decline any application without giving a reason, and we offer places only when one is free.
15.3 Price and renewal. Direct Access costs $5,250 (USD) per quarter, plus any tax shown at checkout. It is charged through Whop when you join and then automatically every three months on the same date, until you cancel. By joining you authorise those charges. We email you 7 days before each quarterly charge with the date, the amount and a link to cancel. We give at least 30 days' email notice of any price change, and a change never applies to a quarter already paid.
15.4 No refunds. Direct Access payments are final and non-refundable, including partial quarters and calls you do not use. The exceptions in §8.3 apply, and so do §8.4–8.7.
15.5 Scheduling. We agree each month's call with you. To move a call, tell us at least 24 hours ahead and we will offer another time in the same month. A call you miss without notice, or do not book within the month, does not carry over. If we cancel a call and cannot reschedule it that month, we add it to a later month or, if you prefer, extend your membership by one month at no charge. If our founder cannot hold calls for more than one month, we pause billing until calls resume, or end the membership and refund the unused part of the quarter under §8.3(2).
15.6 What the calls are — and are not. The calls are education and a review of method: research process, strategy structure, testing practice, your own risk rules and the platform. On a call we do not:
- tell you which securities to buy, sell or hold, or when;
- look at or comment on your brokerage account, positions, balances or orders;
- set or suggest your position size;
- manage, trade or access your account; or
- judge whether a strategy or investment suits your finances.
If a call turns to those subjects, we stop that part of the conversation. Everything in §4 applies to Direct Access in full. Nothing said on a call is a recommendation, and no call creates an advisory or fiduciary relationship.
15.7 What not to share. Do not show brokerage statements, account numbers, passwords or your webhook address on a call.
15.8 Recording, notes and confidentiality. We do not record Direct Access calls, and you may not record them without our written consent. We keep a short written agenda and notes of the topics covered. We keep what you tell us about your own strategies confidential, and we do not use it in lessons, sessions or marketing without your written permission.
15.9 Cancelling. Cancel at any time by writing to us — in the support chat in the application, or by email to support@tradermachine.com from the address on your account — or, once Direct Access is sold through Whop, on your Whop Orders page (whop.com → Profile → Orders → select the membership → Cancel membership). No reason, call or form is needed. A cancellation sent to us counts from the moment it arrives, and we confirm it by reply within one business day. Cancelling stops the next quarterly charge and takes effect at the end of the quarter you have paid for: your calls and the included platform access continue until then.
15.10 When it ends. When your last paid quarter ends, the platform access included in Direct Access ends too. If you also hold your own annual subscription, it keeps running on its own dates; Direct Access does not extend, pause or refund it.
15.11 Ending a membership for conduct. We may end a membership at once, with no refund, for abusive conduct, for recording a call without consent, for repeatedly asking for personal investment advice after we have said we do not give it, or for a material breach of these Terms.
16. Acceptable use
16.1 You agree not to:
- share your account or credentials, or resell or sublicense access;
- copy, scrape, crawl or bulk-download the Service, its data or its content, or access it by any automated means other than features we provide;
- reverse-engineer or decompile the Service, or get around access controls, usage limits or geographic restrictions;
- interfere with or overload the Service, probe it for vulnerabilities without permission, or introduce malicious code;
- use the Service to break any law, including securities laws — for example, to manipulate a market or to trade an account you are not authorised to trade;
- use the Service to run an advice, signal or copy-trading service for others;
- present our content, backtests or AI output as your own advice, as evidence of real trading results, or with promises of profit;
- misuse AI features (§12.5);
- harass anyone in live sessions, calls or support, or post unlawful or infringing material.
16.2 Security reports. If you find a security problem, email support@tradermachine.com. Do not access other customers' data, run denial-of-service tests or publish details before we fix it. We will not take legal action against good-faith research that follows these rules.
16.3 Consequences. A breach of this section can lead to suspension (§9.4) or termination (§9.5).
17. Your content, reviews and feedback
17.1 Your strategies stay yours. Strategies, rules, watchlists and notes you create remain yours. You give us a licence to store, process and display them only as needed to run the Service for you, and to use them in aggregated, de-identified form to improve it. We do not publish your strategies and we do not sell your data.
17.2 Reviews and testimonials. We never pay for, or reward, a review on condition that it is positive, and we never post fake reviews. If we give anything in connection with a review, we disclose it. We do not publish customers' trading profits. We ask before we quote you.
17.3 Feedback. If you send us ideas, suggestions or feature requests — including as a Direct Access member — we may use them freely, worldwide and without payment or credit, and they are not confidential. This does not give us your strategies (§17.1, §15.8).
18. Our property and your licence
The Service, its software, design, lessons, recordings and brand belong to us or our licensors. For the paid period we give you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service under these Terms. Do not remove our notices. All other rights are reserved.
19. Third-party services
The Service works with services we do not control — among them Whop (payments), SignalStack, your broker, Alpaca and our other data providers, Anthropic (AI), Vimeo (video), LiveKit (live sessions) and Zoom (calls). Their own terms govern your use of them. We are not responsible for their acts, failures, fees or availability. A link to a third party is not an endorsement.
20. Availability and our service commitments
20.1 No promise of uninterrupted service. Maintenance, provider outages and failures happen. We are not liable for trades missed, taken or left open during an interruption.
20.2 Changes to the Service. We improve the Service continually and may add, change or remove features. If a change permanently removes a core part of the Service during your paid year, §8.3(2) applies.
20.3 Beta features. Features labelled “beta”, “preview” or “experimental” are unfinished. They may be unstable, may show incomplete or wrong results, and may change or disappear without notice. Use them for research only, and do not connect them to automation.
20.4 Our service commitments.
- Status notices. When an outage or data problem affects the Service during regular U.S. market hours (9:30 a.m.–4:00 p.m. Eastern), we tell you in the application or by email as soon as we know, and again when it is fixed.
- Planned maintenance happens outside regular market hours and is announced in the application at least 3 hours ahead. Urgent security or stability fixes are the only exception.
- Time back for long outages. If a fault on our side stops charts, scanners or backtests working for most subscribers for more than 4 hours in total during regular market hours in one calendar month, and you ask us by email within 14 days after that month ends, we add 7 days to your subscription. Planned maintenance under (b) and events under §28.3 do not count. Time back is not money: it cannot be exchanged for a refund, and it is the only remedy under this commitment.
- People answer money questions. A person answers questions about billing, cancellation and refunds within 2 business days, and confirms an emailed cancellation within one business day (§9.1).
21. Disclaimer of warranties
To the fullest extent the law allows, the Service, its data, backtests, AI output, alerts, automation, live sessions, lessons, Direct Access and all other content are provided “as is” and “as available”. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and any warranty that the Service will be uninterrupted, timely, secure or error-free, or that it will make you money.
Where the law does not let us exclude an implied warranty, it lasts 90 days from your first use of the feature concerned, or the shortest longer period the law requires. Some jurisdictions do not allow some of these exclusions, so they may not all apply to you.
22. Limitation of liability
To the fullest extent the law allows: (a) we are not liable for any trading or investment losses, lost profits, lost opportunities, lost data, or any indirect, incidental, special, consequential, exemplary or punitive damages, however caused; and (b) our total liability for all claims relating to the Service or these Terms is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars.
(c) Who these limits protect. §21 and §22 also protect our owner, employees, contractors, and the providers whose data or software is part of the Service. You will not bring a claim about the Service against any of them personally that you could not bring against us, except for their own fraud or wilful misconduct.
This section does not limit liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or anything else the law does not allow a contract to limit. Where your local law does not allow these limits, our liability is limited to the smallest amount that law permits.
23. Indemnity
You will compensate us for third-party claims, losses and reasonable legal costs that result from your breach of these Terms, your violation of law or of someone else's rights, or content you submit. We will tell you promptly about any such claim and let you take part in the defence. If you are a consumer, this applies only to the extent your local law allows.
24. Governing law
[OWNER DECISION: binding individual arbitration (§25, as written) or courts, and the governing law and seat. Recommended default: as written — for US residents, individual arbitration under the Federal Arbitration Act, administered by the AAA under its Consumer Rules, with New York law, a small-claims carve-out, a class-action waiver and a 30-day opt-out; consumers in Canada keep their provincial courts and law. Do not choose Israeli law or courts for US consumers.]
24.1 The Federal Arbitration Act governs §25. Otherwise these Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. This does not deprive you of the protection of the mandatory consumer laws of the state where you live.
24.2 If you are a consumer living in Canada, the mandatory laws of your province apply, and you may bring a claim in the courts of your province.
24.3 Any dispute that is not sent to arbitration goes to the state and federal courts in New York County, New York, except where your local law gives you the right to sue where you live.
24.4 The United Nations Convention on Contracts for the International Sale of Goods does not apply.
25. Dispute resolution
Please read this section carefully. If you live in the United States, it requires individual arbitration of most disputes, and it waives class actions and jury trials.
25.1 Talk to us first. Before starting any claim, email support@tradermachine.com with the subject “Legal notice”: your name, your account email, what happened and what you want. We write to the email on your account. Both sides will try in good faith to resolve it within 30 days, and time limits for bringing a claim are paused during that period.
25.2 Individual arbitration (United States residents). If the dispute is not resolved, it will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before one arbitrator. Hearings take place by video or on documents where possible; if an in-person hearing is needed, it takes place in the county where you live. Fees follow the AAA consumer fee schedule: you pay no more than the consumer filing fee it sets, and we pay the rest. The arbitrator may award any individual relief a court could award, but only for you, and gives a written decision.
25.3 Small claims. Either side may bring an individual claim in small-claims court instead, if it qualifies.
25.4 Exceptions. Either side may ask a court for an injunction to protect intellectual property or to stop unauthorised access to the Service. This section does not waive a claim for public injunctive relief: such a claim goes to court, and is paused until the individual claims are decided in arbitration.
25.5 No class actions; no jury. Claims may be brought only individually — not as a plaintiff or class member in any class, collective, consolidated or representative proceeding — and you and we each waive a jury trial. If this waiver is found unenforceable for a particular claim, that claim goes to court (not to class arbitration) and is paused until the individual arbitration ends.
25.6 Many similar claims. If 25 or more similar claims are filed by or with the help of the same or coordinated counsel, the AAA's mass-arbitration rules and fee schedule, as published by the AAA, apply.
25.7 Your right to opt out. You may opt out of §25.2–25.6 by emailing support@tradermachine.com within 30 days after you first accept these Terms, with the subject “Arbitration opt-out”, your name and the email address of your account. Opting out changes nothing else in these Terms.
25.8 Consumers in Canada. §25.2–25.7 do not apply to consumers who live in Canada. You may bring a claim in the courts of your province and take part in any class proceeding your provincial law allows. Arbitration applies only if both of us agree to it after a dispute has arisen.
25.9 Time to bring a claim. Where the law allows, a claim must be started within one year after it arises, or it is barred.
25.10 Changes to this section do not apply to a dispute you have already told us about.
26. Changes to these Terms
We may update these Terms. For a material change, we will email you and post the new version at least 30 days before it takes effect. If a change materially reduces your rights, it applies to you from your next renewal, unless the law or the security of the Service requires it sooner. You never have to accept a change: you may cancel instead, and the change does not apply to the year you have already paid for. A change to §25 does not apply to a dispute you have already told us about. Corrections that do not change anyone's rights take effect when posted. Each version is dated and numbered, and we keep earlier versions available on request.
27. Electronic communications and notices
You agree to receive agreements, receipts, renewal reminders and notices electronically, at the email address on your account, and that they satisfy any requirement that they be in writing. Keep that address current; a notice sent there is received when sent. Notices to us go to support@tradermachine.com; legal notices also go by post to the address in §1.1.
28. General
28.1 Entire agreement; no reliance. These Terms and the documents in §1.4 are the whole agreement between us about the Service. You have not relied on any statement, promise or forecast that is not written in them — whether made by our owner, staff, affiliates, AI agent, marketing or anyone else. Nothing said in a live session, a Direct Access call, a support chat, an email or a social post changes these Terms.
28.2 Assignment. You may not transfer these Terms. We may transfer them to a successor of our business, including a company we form in the United States, and we will tell you if we do.
28.3 Events outside our control. Neither of us is liable for failures caused by events beyond reasonable control, including outages of exchanges, data providers, Whop, SignalStack, brokers or hosting providers, internet failures, natural disasters, war, hostilities, terrorism, civil emergencies and government orders — including in Israel, where we operate. This does not excuse a payment that is due.
28.4 Severability and waiver. If a provision is unenforceable, it is limited to the minimum extent necessary and the rest stays in force. Not enforcing a right is not a waiver of it.
28.5 Language. These Terms are written in English, and the English version governs.
28.6 No third-party beneficiaries, except the people §22(c) protects and the data providers in §10.7. No agency, partnership or employment relationship is created.
